Who we are. The Services are provided by Sentient Sky Ltd, a company registered in England & Wales with company number 12222356, whose registered office is 401 Coventry Road, Birmingham, B10 0SP, United Kingdom (Sentient Sky, we, us, our). You can contact us at [email protected].

5) Newsletter and PRO membership

Renewal reminders and cooling-off. We will comply with any statutory renewal-reminder or renewal cooling-off rules that apply to subscriptions once they come into force, and nothing in these Terms limits them.

6) Digital Products

6.1 What you get. When you buy a Digital Product you receive a personal licence to use it, not ownership of it. The product page describes what is included and any compatibility requirements (for example, that the product is designed to be installed in Claude and needs a compatible Claude account).

6.2 Delivery. Digital Products are made available electronically, normally immediately after payment is confirmed, by download link or by email. If you do not receive access within 24 hours, email [email protected].

6.3 Licence scope. Unless the product page says otherwise, a purchase gives one named individual (or one business, for a single user) a non-exclusive, non-transferable licence to use the Digital Product for personal or internal business purposes. You may use the outputs you generate with it for your own work, including commercially. You may keep personal backup copies.

6.4 What you may not do. You may not resell, share, publish, sublicense, rent, upload to public or shared repositories, or otherwise distribute the Digital Product or any part of it, or use it to create a competing product. Do not remove copyright or ownership notices.

6.5 Third-party platforms. Digital Products may work only with third-party tools such as Claude. Your use of those tools is governed by their own terms, and we do not control their availability, features or output.

6.6 AI output. Digital Products use AI. Output may be inaccurate, incomplete or unsuitable for your purpose. It is guidance, not professional, legal, financial or tax advice, and you are responsible for checking it before relying on it. Any statements about results or earnings in our marketing describe the purpose of the product and are not a guarantee of any result.

7) Prices and payment

Prices are shown at checkout in the currency stated there and include or exclude taxes as indicated. Where VAT or other taxes apply, they are shown before you pay. Payments are processed by our payment partners (currently through our publishing platform beehiiv, which uses Stripe). By paying, you authorise us and our payment partners to charge your chosen payment method. We do not see or store your full card details.We may correct pricing errors before we accept your order. If we have charged you the wrong amount, we will refund the difference.

8) Refund Policy

8.1 In summary. Digital Products are non-refundable once access has been provided, except where the law gives you a right to a refund or where section 8.4 applies. Nothing in this policy affects your statutory rights.

8.2 Your 14-day cancellation right and why it normally does not apply. Consumers in the UK and the EU/EEA normally have 14 days to cancel an online purchase. For digital content, that right is lost once supply begins, if you have given your express consent to immediate supply and acknowledged that you lose your right to cancel. At checkout we will ask you to tick a box confirming this. If you tick it and we then make the Digital Product available, you will not have a 14-day cancellation right.If we fail to obtain that consent and acknowledgement, you may cancel within 14 days of purchase and we will refund you in full, with no deduction or fee.

8.3 Faulty or misdescribed Digital Products. Your legal rights are unaffected. Under the Consumer Rights Act 2015, digital content must be of satisfactory quality, fit for its purpose, and as described. If a Digital Product is faulty, corrupted, will not install or open, or is materially different from its description, you are entitled to a repair or replacement. If we cannot provide one within a reasonable time, you are entitled to a price reduction, which can be a full refund. We charge no fee on any refund that you are legally entitled to. To make a claim, email [email protected] with your order details and a description of the problem, ideally with screenshots. Refunds due under this section are made without undue delay and within 14 days of us agreeing that you are entitled to one, to your original payment method. Consumers outside the UK keep any similar mandatory rights under the law where they live.

8.4 Goodwill refunds (change of mind or dissatisfaction). If you are not entitled to a refund by law, you may still ask us for a goodwill refund. To be considered, you must email [email protected] within 14 days of your purchase date, quoting your order details and your reason. Goodwill refunds are at our discretion. If we approve one:

~ we will deduct a 15% processing and licence-protection fee, which reflects the cost of protecting our copyright and the fact that a Digital Product cannot be returned once downloaded; and
~ we will refund the remaining 85% to your original payment method within 14 days of approval.

By requesting a goodwill refund, you confirm that you will stop using the Digital Product and delete all copies. We may refuse a goodwill refund where we reasonably suspect misuse, copying or sharing of the Digital Product, or repeated refund requests.

8.5 PRO subscriptions. PRO fees are charged in advance and are not refundable for a period already started, except where required by law or in a case of billing error, or where a statutory renewal cooling-off right applies once in force. You can cancel at any time to stop future charges.

8.6 Chargebacks. Please contact us before disputing a charge with your bank. We can usually resolve problems faster, and we may suspend access to Services while a dispute is open.

9) Send A Task

If we offer the "Send A Task" service, you may submit a request for us to consider. Submitting a task does not guarantee that we will respond, publish or complete it. Please do not include confidential information, other people's personal data, or anything you are not allowed to share. We may feature anonymised or generalised versions of tasks in our newsletter.

We will not name you without your permission.

10) Intellectual property

We and our licensors own all rights in the Materials, which are protected by copyright, trademark and other laws. Except as these Terms allow, you may not copy, distribute, modify, publish, or exploit any Materials without our prior written permission. You may share short quotations from the newsletter with a clear credit and link to the Site, and forward a newsletter issue to a friend or colleague for personal reading.Materials that we expressly mark as "downloadable" may be downloaded for personal use only.

11) Your content

Content you send us (for example comments, feedback, testimonials or tasks) is Your Content. You keep ownership of it. You grant us a worldwide, non-exclusive, royalty-free licence to use, adapt and display Your Content to operate, improve and promote the Services, with attribution where we have your permission to name you. You confirm that Your Content is lawful, does not infringe anyone's rights, is not offensive or discriminatory, and does not contain confidential information you are not authorised to share.

12) Acceptable use

You must not:

share your login credentials or access other users' accounts;
infringe intellectual property rights, including by sharing or copying paid Materials;
use the Services to harass, intimidate or harm others, or for anything unlawful, fraudulent, or to distribute malware;
use bots, scrapers or other automated means to access or extract content, or interfere with or disrupt the Services;
reverse engineer or disassemble any software we provide, except where the law allows.

Breaching these rules may lead to suspension or termination of your access.13.

13) Business customers

If you buy as or for a business: the 14-day cancellation and consumer protections in sections 8.2 and 8.3 do not apply. Digital Products are non-refundable except where we agree otherwise in writing, and any such refund is subject to the 15% fee in section 8.4.

A business licence covers only the number of users stated at purchase.

14) Our responsibility to you

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded, including your statutory consumer rights.

Subject to that:

The Services and Digital Products are provided with reasonable skill and care, but we do not promise that they will be uninterrupted or error-free, or that AI output will be accurate or achieve any particular business result.
We are not responsible for loss that was not a reasonably foreseeable result of our breach, or for the acts of third parties and Third-Party Services.

If you are a consumer: we are responsible for foreseeable loss and damage caused by our breach or negligence, up to the amount you paid for the relevant Service in the 12 months before the event, except where the law does not allow that limit.

If you are a business: we are not liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss. Our total liability to you will not exceed the amount you paid us in the 12 months before the claim arose.

15) Changes to the Services and these Terms

We may update the Services and these Terms from time to time, for example for legal, security or operational reasons. For significant changes we will email you or post a prominent notice on the Site. Changes do not apply to orders you have already placed. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, you should stop using the Services and cancel any PRO subscription.

16) Suspension and termination

We may suspend or end your access if you breach these Terms, engage in fraudulent activity, or if we stop providing the Services, and we will give you notice where reasonably possible. You may stop using the Services and cancel PRO at any time. On termination, your licence to use the Services ends and sections that by nature should survive (including IP, liability and governing law) continue to apply. Termination does not affect any refund you are legally entitled to.

17) Notices

We will contact you using the email address on your account or through the Services. Please keep your details up to date. You can contact us at [email protected] or by post at Sentient Sky Ltd, 401 Coventry Road, Birmingham, B10 0SP, United Kingdom.

18) General

Events outside our control. Neither party is liable for delay or failure caused by events beyond their reasonable control, such as natural disasters, pandemic, war, terrorism, strikes, power or internet failure, or government action.

Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to another business, provided your rights are not reduced.• Severability. If any provision is found invalid or unenforceable, the rest remains in force.

No waiver. A failure to enforce a provision is not a waiver of it.

Entire agreement. These Terms, together with the Privacy Policy and the checkout information, are the whole agreement between us about the Services.

Third-party rights. Only you and we can enforce these Terms.

19) Complaints and disputes

If you have a concern, please email [email protected] first. We aim to reply within 5 working days and will try to resolve the matter fairly. If we cannot, you may use any alternative dispute resolution service available to you, and consumers may also contact Citizens Advice or the relevant consumer authority where they live. Nothing here prevents either party from seeking urgent injunctive relief, for example for infringement of intellectual property, or limits your right to go to court.

20) Governing law and courts

These Terms, and any dispute or claim arising from them, are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the part of the UK where you live (Scotland or Northern Ireland), and consumers elsewhere keep any right to rely on the mandatory consumer protection laws of their home country and to bring claims in their local courts.

If you sign up through a social account or a referral, we receive the basic details that service shares with us.

We do not knowingly collect special category data (such as health or political opinions). Please do not include it in anything you send us.

4) How and why we use your personal data

We only use your personal data where the law allows us to. Below, we explain each purpose, what it involves, and the legal basis (the “lawful basis” under UK GDPR) we rely on.

Delivering the Services you ask for. We use your name, email address and account details to send you our newsletter, give you access to PRO, deliver Digital Products you have bought, and respond to your support emails and any tasks you submit through “Send A Task”. We do this because it is necessary to perform our contract with you, or to take steps at your request before entering into one.

Taking payments and keeping financial records. We use your order and billing information to process purchases and refunds, issue receipts, and keep accurate accounts. We rely on contract for processing your orders, and on legal obligation for keeping the tax and accounting records the law requires us to hold.

Marketing and product news. We use your email address to send you news about our own products and offers. We do this with your consent, or, where you have previously bought from us and the Privacy and Electronic Communications Regulations (PECR) allow it, under the “soft opt-in” for similar products and services. You can opt out at any time by clicking the unsubscribe link in any email or by contacting us at [email protected].

Understanding and improving the Services. We analyse how people use the Site and our emails, for example which content is most useful, which links are clicked, and where bugs occur, mostly in aggregated form. We rely on our legitimate interests in running, measuring and improving our business.

Personalising what we send you. We may adjust the content or frequency of our emails based on interests you have told us about or how you engage with our newsletter. We rely on our legitimate interests, or on your consent where the law requires it.

Keeping the Services secure and preventing misuse. We use technical and usage data to detect fraud, spam and abuse, and to spot the unauthorised sharing of paid files. We rely on our legitimate interests in protecting our business, our customers and our intellectual property, and on legal obligation where the law requires us to take these steps.

Complying with the law and protecting our rights. We may use and disclose personal data to respond to lawful requests from authorities, to meet our legal and regulatory duties, and to establish, exercise or defend legal claims. We rely on legal obligation and, for legal claims, our legitimate interests.

Where we rely on legitimate interests, we balance them against your rights and freedoms, and you can object at any time (see section 10). Where we rely on consent, you can withdraw it at any time, and this will not affect processing that took place before you withdrew it.We do not sell your personal data. We do not use automated decision-making that produces legal or similarly significant effects about you.

5) Who we share it with

We share personal data only where needed, with:

Service providers (processors): our newsletter and storefront platform (beehiiv, Inc.), our payment processor (Stripe, through beehiiv), email delivery and analytics tools, and tools we use to run the business such as cloud storage, accounting software and customer support. They may use your data only on our instructions and under contract.

Professional advisers: accountants, lawyers and insurers, where necessary.

Authorities: HMRC, courts, regulators or law enforcement where the law requires or to protect rights, property or safety.

Business transfers: a buyer or successor if we merge, are acquired or sell assets, who must honour this policy.

Sponsors and advertisers: we do not give them your personal data. Any sponsor reporting is aggregated (for example total clicks). If you click a sponsor's link or give them details directly, their own privacy policy applies.

6) International transfers

Some of our providers are based outside the UK, notably in the United States. Where we transfer personal data outside the UK, we make sure a lawful safeguard is in place, such as an adequacy decision or the UK-US data bridge for certified recipients, the ICO's International Data Transfer Agreement or the UK Addendum to EU Standard Contractual Clauses, together with a transfer risk assessment where needed. You can ask us for details at [email protected].

7) How long we keep it

Subscriber data: while you remain subscribed. After you unsubscribe we keep a minimal record (your email and the unsubscribe date) so that we do not email you again.

Customer and order records: normally 6 years after the transaction, to meet tax, accounting and legal-claim requirements.

Support emails and tasks: up to 24 months after the matter closes, unless needed longer for a legal reason.

Analytics and logs: generally up to 26 months, usually in aggregated form.

Inactive accounts: we may delete or anonymise accounts that have been inactive for more than 24 months, after notice where practical.

When the retention period ends, we delete or anonymise the data.

8) Security

We use appropriate technical and organisational measures, including encryption in transit (SSL/TLS), access controls and authentication, and we choose providers with recognised security standards. No online system is completely secure, so we cannot guarantee absolute security. If a personal data breach is likely to risk your rights and freedoms, we will notify you and the ICO as the law requires.

9) Cookies and similar technologies

We and our platform providers use cookies and similar technologies on the Site.

Strictly necessary cookies: needed for the Site to work, such as keeping you logged in, remembering your session, security and checkout. These do not need consent.
Analytics and performance cookies: tell us how the Site and emails are used so we can improve them.
Functional cookies: remember choices such as region or preferences.
Marketing cookies: only used if we run advertising or retargeting, and only with your consent where the law requires it.

Where the law requires consent for non-essential cookies, we ask first through the cookie banner and you can change your choice at any time. You can also block or delete cookies in your browser settings, though parts of the Site may not work properly. Email open tracking uses small images or links, and you can reduce it by blocking remote images in your email client.

10) Your rights

Under UK data protection law you have the right to:

Be informed about how we use your data (this policy);
Access a copy of the personal data we hold about you;
Rectify inaccurate or incomplete data;
Erase your data, in certain circumstances;
Restrict our processing, in certain circumstances;
Data portability: receive your data in a structured, commonly used, machine-readable format;
Object to processing based on legitimate interests and to direct marketing at any time;
Withdraw consent where we rely on it;
Not be subject to solely automated decisions with legal or similarly significant effects.

To use any of these rights, email [email protected]. We may ask you to confirm your identity. We normally respond within one month, extendable by up to two further months for complex requests, and we do not charge a fee unless a request is clearly unfounded or excessive. Unsubscribing from marketing is free and instant using the link in any email.Some rights are limited where we must keep data for legal reasons. If we refuse a request, we will explain why.

11) Complaints

If you are unhappy with how we have handled your personal data, please contact us first at [email protected]. We will acknowledge your complaint within 30 days, look into it without undue delay, and tell you the outcome.

You also have the right to complain to the UK supervisory authority at any time: the Information Commissioner's Office, Wycliffe House, Water Lane, Wilmslow, Cheshire SK9 5AF; ico.org.uk; telephone 0303 123 1113. If you live in the EU/EEA, you may complain to your local data protection authority.

12) Marketing emails

By subscribing, you agree to receive our newsletter. Where you have opted in, we may also send marketing about our products and services. You can unsubscribe at any time with the link in every email or by emailing [email protected]. We will still send essential service messages, such as receipts, security notices and changes to Terms.

We do not upload your email address to advertising platforms for audience targeting unless you have consented to it.

13) Children

The Services are not directed at children. You must be at least 18 to purchase from us, and we do not knowingly collect personal data from anyone under 16. If you believe a child has given us personal data, email [email protected] and we will delete it promptly.

14) Residents of other regions

EU/EEA visitors. We apply UK GDPR standards, which are closely aligned with the EU GDPR, and the rights in section 10 are available to you.

US residents, including California. We do not sell or share your personal information for cross-context behavioural advertising.

Depending on where you live you may have rights to know, access, correct, delete and port your data, and to opt out of targeted advertising or sale. Contact [email protected] to exercise them, and we will not discriminate against you for doing so.

Elsewhere. If local law gives you additional privacy rights, contact us and we will respect them where they apply.

15) Link to other websites

The Services may link to third-party sites, including social media and sponsor sites. They have their own privacy policies and we are not responsible for their practices.

16) Changes to this policy

We may update this policy from time to time. The date at the top shows when it was last revised. For significant changes we will notify you by email or with a prominent notice on the Site. Please review it periodically. Continued use of the Services after a change takes effect means you accept the updated policy, where the law allows.
